Eligibility: AFROPUNK Battle of the Bands Contest (“Contest”) is open to individual solo artists (“artist”) and bands and each of their members (“band”) (collectively “Participants”) who are: a.) Amateurs and have never (either individually or collectively) signed a commercial recording contract; b.) Legal residents (natural persons only) of the United Kingdom; c.) 18 years of age or older (or at least the legal age of majority in their state of residence, whichever is older); and d.) Not employees, officers, directors, agents and representatives of Sponsor, SoundCloud Inc., teamDigital Promotions, Inc., their respective parents, subsidiaries, affiliates, advertising/promotion/fulfillment agencies and anyone else connected with the production and distribution of this Contest, suppliers, distributors or retailers (hereafter “Released Parties”), and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in their same household, whether or not related, are not eligible to enter or win. The judges of the Contest and their immediate family members and/or members of their same household are also not eligible. Contest is void where prohibited by law. By entering, you agree to these Official Rules and the decisions of the judges, which are final and binding in all respects. All applicable federal, state, provincial, territorial and local laws and regulations apply.
Contest Description and Promotion Period: The Contest starts on 1/6/17 at 4:00:01 PM Greenwich Mean Time (“GMT”) and ends on 19/6/17 at 3:59:59 AM GMT (the "Promotion Period"). Participants in the Contest (each, a “Participant”) are asked to submit one (1) original song/track written, composed, and performed by the Participants (each, a “Submission” and/or “Entry”). Participants must upload the Submission as directed in the How to Enter section below.
How to Enter: To enter the Contest during the Promotion Period, 1) solo artists and/or one (1) member of a participating band may visit https://soundcloudcontests.com/apbotblondon and log into your SoundCloud account (or create an account at soundcloud.com if you do not already have one). NOTE: There is no cost to create a SoundCloud account; 2) Once logged-in, follow the instructions to fully complete the online entry form and follow the directions provided to upload a Submission and enter the Contest. Audio software tools will not be provided; and 3) Like/Follow AFROPUNK on the following channels (if you are not doing so already): Facebook, www.facebook.com/AFROPUNK/, Twitter, @afropunk and Instagram, @afropunk.
Submission Guidelines: Entry must be Participant’s original, personal creation, in English and cannot have been previously exploited in any manner. Entry cannot defame or invade publicity and/or intellectual property rights or the privacy of any person, living or deceased, or otherwise infringe upon any copyrighted works or a person’s personal or proprietary rights. The song/track included in the Submission must be public and must be tagged with #apbotbldn #Contest. Entries generated by script, macro or other automated means or deemed by the Judges to be immoral, obscene, profane or not in keeping with SoundCloud’s or AfroPunks’ image or in violation of these Official Rules will be void. By submitting an Entry, Participant hereby warrants and represents that the Entry conforms to the Entry Requirements set forth herein, including the following:
- Each Participant (artist/band) is allowed a total of one (1) Submission, regardless of whether an artist participates individually or as part of a band, with the Submission being no longer than five minutes (5:00) in length.
- Entry cannot be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, sexual orientation, religious, professional or age group, profane or pornographic, contain nudity or any materially dangerous activity;
- Entry cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
- Entry cannot be obscene or offensive, endorse any form of hate or hate group;
- Entry cannot defame, misrepresent or contain disparaging remarks about SoundCloud, AfroPunk, any other participants or other people or entities or their products or services;
- Participant must not have signed with any record label, music publishing house and/or master recording studio, now or in the past;
- Entry cannot contain trademarks (except for trademarks owned by the Participant), or contain any personal identification, such as personal names, email addresses or street addresses;
- Entry cannot contain copyrighted materials owned by others without permission. Use of any unauthorized music will result in disqualification of Submission, in Sponsor’s sole discretion;
- Entry does not contain any samples;
- Entry cannot contain a 3rd party outside of the Participant (artist/band);
- Entry cannot contain materials embodying the names or other indicia identifying any person, living or dead, without permission;
- Entry cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor and/or SoundCloud wishes to associate; and
- Entry cannot depict, and cannot itself, be in violation of any law.
There is a limit of one (1) Entry per Participant (artist/band) using only one (1) SoundCloud account for the duration of the Promotion Period. If multiple Entries are received by the same Participant, only the first Entry submitted will qualify for entry in the Contest; subsequent Entries submitted by that Participant shall be disqualified. In the event of non-compliance with any requirements specified herein or with any of the terms of these Official Rules, Entry will be void. In order to be entered into the Contest, Participants must comply with the registration instructions as outlined during the entry process. Each Entry must be complete and meet all criteria set forth in these Official Rules to be eligible. Once submitted, an Entry cannot be deleted, canceled, or modified.
By submitting an Entry, Participant acknowledges and agrees that Sponsor may obtain many Submissions in connection with this Contest, and that such Submissions may be similar or identical in idea, format or other respects to other Submissions and/or other contests hosted by Sponsor or submitted for other reasons or other materials developed by Sponsor. Participant waives any and all claims Participant may have had, may have, and/or may have in the future, that any Submission and/or other works accepted, reviewed and/or used by the Participant may be similar to his/her Entry, or that any compensation is due to Participant in connection with such Entry or other works used by Sponsor. Entries that appear to duplicate any other submitted Entries, in Sponsor’s sole discretion, will be void and only the first Entry submitted (based on time/date) will be included in the Contest. Participant acknowledges and agrees that his/her Entry may be posted, without limitation, on, Sponsor’s website and app, Sponsor’s social media pages (e.g., Facebook and Twitter), and SoundCloud Inc.’ social media pages (e.g. Facebook, Instagram, Twitter) via a link to the Entry on Sponsor’s website and be available to be viewed by anyone with access to the Internet. Personal details collected during the course of the Contest will only be used for the purpose of administering the Contest. This does not affect any other consents provided.
Released Parties are not responsible for lost, incomplete, late, damaged, garbled, undelivered, inaccurate, or misdirected Entries; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, Internet Service Provider (ISP), cable, satellite, server or other connections; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to Participant's or any other person's computer related to or resulting from participation in this Contest; printing, typographical or other errors appearing within these Official Rules or in any Contest-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise, including, without limitation, errors that may occur in connection with the administration of this Contest, the processing or judging of Entries, the announcement of the prizes, or in any other Contest-related materials. The use of automated entry or similar devices as specifically set forth above is prohibited and Entries through such prohibited devices are void. By entering this Contest, Participants give their express permission to be contacted by Sponsor or it’s designated agents by email for promotional purposes only. In the event of a dispute as to the identity of the Participant, Participant will be deemed the primary account holder of the email address submitted at time of entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Released Parties satisfaction) of being the authorized account holder may be required by Released Parties.
License/Use Of Entries: By submitting an Entry, and to the extent allowed by law, you grant the Released Parties a perpetual, worldwide, royalty-free, non-exclusive, sub licensable, unconditional and transferable license to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, adapt, exhibit and/or otherwise use or reuse your Entry, name, song/track, and biographical material including, but not limited to, all materials submitted in connection with the Contest in any and all media, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to entrant or any third party.
Submission Selection Process: The Submission Selection process will occur in three phases as outlined below:
Phase 1: Contest Entry Judging to determine the Semi-Finalists:
Semi-Finalist Judging : All eligible Contest Entries received will be judged on a total scale of 0-100 based on the following criteria by a third party judging panel determined by Sponsor:
(a) Participant’s Musical Ability;
(b) Quality of Musical Composition; and
(c) Message (the ability to use the right elements to deliver a powerful message).
The twenty-five (25) Contest Entries with the highest scores, as determined by the judges chosen by Sponsor in their sole discretion, will be deemed potential “Semi-Finalists” and advance to Phase 2 of the Submission Selection Process. Potential Semi-Finalists will be announced on/about 22/6/17. Sponsor reserves the right to advance fewer than twenty-five (25) Semi-Finalist Entries to the next round if, in their sole discretion, they do not receive a sufficient number of eligible and qualified Contest Entries or if potential Semi-Finalist(s) fail to timely execute and return the Waiver and Release (available for review Here). In the event of a tie, a separate tie-breaking judge or judging panel determined by Sponsor at Sponsor’s sole discretion will re-judge the tied entries based on the above Judging Criteria.
As a condition of continued eligibility for the Contest, potential Semi-Finalists will be required to execute and return a Semi-Finalist Waiver and Release within 4-hours from the initial date of issuance of notification. Entrants agree that an electronic signature shall have the same legal force and effect as a hand-signed document. Non-compliance with the foregoing or with these Official Rules in any way, the inability to contact a potential Semi-Finalist (as specified above), a potential Semi-Finalist’s rejection of notification as non-deliverable may result in disqualification and, at Sponsor’s discretion, the selection of the next runner-up. Sponsor reserves the right to advance fewer than twenty-five (25) Semi-Finalist Entries to the Phase 2 Public Interaction Period if, in their sole discretion, they do not receive a sufficient number of eligible and qualified Contest Entries or if potential Semi-Finalist(s) fail to timely execute and return the Semi-Finalist Waiver and Release as discussed above.
Phase 2: Public Interaction:
Semi-Finalist Entry Judging Phase to determine the Finalists:
Each of the (25) Semi-Finalist Entries will be posted† between 22/6/17 at 4:00:01 PM GMT and 5/7/17 at 3:59:59 AM GMT (the “Public Interaction Period”) at soundcloud.com/afropunk. Individuals eighteen (18) years of age and older (“Voters”) will be directed to visit soundcloud.com/afropunk during the Public Interaction Period, and using a personal computer or mobile device, will have the option to publicly “like” one or more of the Semi-Finalist Entries by following the provided instructions. To interact with the Semi-Finalist Entries, you must be logged into your SoundCloud account (or create an account at soundcloud.com if you do not already have one). NOTE: There is no cost to create a SoundCloud account. Each “like” will count as a vote for the corresponding Semi-Finalist Entry. There is a limit of one (1) vote per person and per SoundCloud account. In the event a voter has more than one (1) SoundCloud account only the first vote (for one or more Semi-Finalist Entries) will be accepted. Voters may comment on the Contest Entries; however, those comments will have no bearing on the outcome of the Public Interaction Period. Voter comments must not include any comment that is obscene, pornographic, libelous or otherwise objectionable or promote illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), alcohol consumption, any activities that may appear unsafe or dangerous (including implying that the consumption of alcohol is acceptable while operating a motor vehicle, machinery or engaging in any other conduct requiring a high degree of alertness or physical coordination), or any particular political agenda or message. (For the avoidance of doubt, to the extent applicable, the other content requirements for Entries [as discussed above] apply to voter comments as well.) In posting a comment, voter grants to Sponsor the non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable right and license to use, publish, adapt, edit or modify such comment, in any way, in whole or in part, and to use such comment, and any ideas or concepts contained therein, in commerce in any and all media now known or hereafter discovered, worldwide, without limitation or compensation to the voter posting such comment and without right of notice, review or approval of any such use of comment. Nothing herein, however, in any way obligates Sponsor to make any use of comment. (The preceding is subject only to those rights expressly reserved by SoundCloud, Inc. in such comments as the entity providing a platform for publication of same.) Semi-Finalists are prohibited from obtaining interactions (or “likes”) or attempt to affect other Semi-Finalists’ ability to obtain interactions (or “likes”) by fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public and/or using any websites or online forums designed to encourage or induce individuals to interact with (or “like”) their Semi-Finalist Entry and/or not to interact with, or “like” (or “unlike,” as the case may be) other Semi--Finalists’ Entries, as determined by Sponsor in its sole discretion. Any leaderboard or listing of the number of “likes” received by a given Semi-Finalist Entry may not be accurate at any given time and is subject to modification by Sponsor in its sole discretion and without notice or liability for the Released Parties of any kind; Sponsor is not bound by the contents of any leaderboard or listing of the number of “likes” received by a given Semi-Finalist Entry. Semi-Finalists who do not comply with the interaction instructions will not have their “likes” counted. Sponsor has the sole discretion to select Semi-Finalist Entries to be Finalist Entries regardless of the total number of “likes” received.
At the conclusion of the Public Interaction Period, the top four (4) Semi-Finalist Entries will be ranked from one through four (4) (with one being the highest ranked) based on the number of eligible “likes” received by their respective Submission as of the conclusion of the Public Interaction Period. Eligible “likes” exclude any likes that occur outside the Public Interaction Period. Those Semi-Finalist Entries will be deemed Finalists and will move onto the Phase 3 Finalist judging. In the event of a tie, a separate tie-breaking judge or judging panel determined by Sponsor at Sponsor’s sole discretion will re-judge the tied entries based on the Judging Criteria outlined in Phase 1.
† The Released Parties expressly disclaim any and all liability in conjunction with any programming, technological or electronic errors/failures/malfunctions in the posting of Semi-Finalist Entries, including any delay in posting one or more Semi-Finalist Entries. Entrants further understand and agree that Semi-Finalist Entries may be posted in an order, pattern or sequence of Sponsor’s sole determination which may be changed one or more times during Phase 2 of the Contest. The top four (4) Semi-Finalist Entries will be posted as Finalists in the same manner as determined by Sponsor in its sole discretion. SPONSOR FURTHER DISCLAIMS ANY AND ALL LIABILITY, INCLUDING LIABILITY FOR MODERATING/FILTERING/MONITORING THE CONTENT OF POSTED ENTRIES.
The use of automated devices (or any other devices intended to automate or subvert any aspect of the interaction, including “liking”) to interact with any Semi-Finalist Entry is prohibited and any “like” effected through such means will, at Sponsor’s sole discretion, be void. Sponsor reserves the right, in its sole discretion, to void any interactions (or “likes”) from an individual whom Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play of this Contest or which is in violation of these Official Rules. Neither Sponsor, nor anyone acting on its behalf, will enter into communications with any Contest Entrant regarding the Contest other than to notify the potential Semi-Finalists, potential Finalists and the potential Grand Prize winner.
Potential Finalists will be announced on/about 6/7/17 and must be able to perform at the Battle of the Band Performance, located The Sackler Space at the Roundhouse, in London on or about 20/7/17. Any/all transportation and accommodations to the venue will not be provided by Sponsor and Finalists will be solely responsible for all costs and expenses associated with their performance. Sponsor reserves the right to advance fewer than four (4) Finalist Entries to the next round if, in their sole discretion, they do not receive a sufficient number of eligible and qualified Contest Entries, the Finalist cannot attend the event, or if potential Finalist(s) fail to timely execute and return the Finalist Waiver and Release. In the event of a tie, a separate tie-breaking judge or judging panel determined by Sponsor at Sponsor’s sole discretion will re-judge the tied entries based on the above Judging Criteria.
Finalist Experiences (4): Each Finalist will be given the opportunity to perform at the Battle of the Band Performance, located at The Sackler Space at the Roundhouse, in London on or about 20/7/17. Any/all transportation and accommodations to the venue will not be provided by Sponsor and Finalists will be solely responsible for all costs and expenses associated with their performance . No compensation will be provided to Semi-Finalists for this opportunity. All details of each Finalist performance will be determined by Sponsor in its sole discretion. No more than one (1) performance at the Battle of the Band Performance will be provided to each Finalist by Sponsor unless otherwise determined by Sponsor in their sole discretion. Each performance will last up to (15) minutes. In the event any Finalist is unable to perform for whatever reason, he/she/they will be disqualified and Sponsor may, at its discretion, notify an applicable runner-up. In the event Battle of the Band Performance venue or the event is unable for whatever reason, Sponsor will reschedule the Finalist’s performance. In addition to the above each Finalist will be invited to attend a 4-day mentorship program to be held at the Roundhouse in London from 17/7/17-20/7/17. The mentorship will focus on teaching the Finalists’ important aspects of the music industry which will include guest speakers. Any/all transportation and accommodations to the mentorship will not be provided by Sponsor and Finalists will be solely responsible for all costs and expenses associated with their attendance .
Finalist Judging to Determine the Grand Prize Winner:
The four (4) selected eligible Finalist Contest Entries will be required to perform live at the Battle of the Band Performance, located at The Sackler Space at the Roundhouse, in London on or about 20/7/17. The Finalist live performances will be judged on the following criteria by a third party judging panel determined by Sponsor:
(a) Participant’s Musical Ability (50%);
(b) Fan Engagement (25%); and
(c) Message (the ability to use the right elements to deliver a power message) (25%).
The one (1) Finalist Contest Entry with the highest score, as determined by the judges chosen by Sponsor in their sole discretion, will be declared the potential “Grand Prize Winner”. The potential Grand Prize winner will be announced on/about 21/7/17 and must be able to perform at the the AFROPUNK Fest in London, England at The Printworks on 22/7/17 or 23/7/17 (details below). In the event of a tie, a separate tie-breaking judge or judging panel determined by Sponsor at Sponsor’s sole discretion will re-judge the tied entries based on the above Judging Criteria.
Grand Prize Experiences (1): The Grand Prize winner (artist or band) will be given the opportunity to perform at the AFROPUNK Fest in London, England at The Printworks on 22/7/17 or 23/7/17 (exact date to be designated by Sponsor). Grand Prize winner will be responsible for all costs and expenses associated with their performance at the AFROPUNK Fest, including, but not limited to, transportation to and from venue . No compensation will be provided to Grand Prize winner for this opportunity. All details of the performance will be determined by Sponsor in its sole discretion. No more than one (1) performance at the AFROPUNK Fest will be provided by Sponsor unless otherwise determined by Sponsor in their sole discretion. Performance will last up to thirty (30) minutes. Grand Prize winner should be prepared with a minimum of thirty (30) minutes of material prepared to perform live. In the event the Grand Prize winner is unable to perform for whatever reason, he/she/they will be disqualified and Sponsor may, at its discretion, notify an applicable runner-up. In the event the AFROPUNK Fest event is cancelled or postponed for whatever reason, Sponsor will reschedule the Grand Prize winner’s performance.
Miscellaneous: By participating, each Participant and winner agrees to be bound by these Official Rules and the decisions of Sponsor, SoundCloud Inc. and the Judges, which are final and binding, and 1) Attest that Entry is his/her original, personal creation and that it meets all eligibility requirements set forth herein; 2) Agree that Participants will retain ownership of his/her Entry, provided that Participants agree that its Entries shall not be licensed, used, or otherwise exploited, to or in connection with any competitor of Sponsor or SoundCloud in whole or in part during the Promotion Period and for a period of sixty (60) days thereafter; and 3) Sponsor shall have no liability on account of, and Participant will defend, indemnify and hold harmless, Sponsor and the Released Parties and their respective successors, licensees and assigns and the licensors of each from and against any and all claims, obligations, damages, losses, expenses and costs including attorney’s fees resulting from any breach of these Official Rules, or any elements of the Contest thereof as contemplated by these Official Rules as well as any liability, loss, injury or damage of any kind (including attorney’s fees) to any person or entity including, without limitation, personal injury, death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize, participation in this Contest, or use of any Entry-related materials. However, nothing in these Official Rules shall exclude or limit in any way any entity's liability for personal injury or death caused by its negligence, for fraud or for any other where liability may not as a matter of law be limited. Sponsor reserves the right, in its sole discretion, to modify, suspend, and/or terminate this Contest should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Contest and, in the case of suspension or termination, at its discretion, select all Prize winners (as described above) from among all eligible non-suspect Entries received prior to event requiring such termination or suspension.
Personal Data: Participants agree that personal data including, but not limited to, name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used for the purposes of conducting and administering the Contest. This data may also be used by Sponsor to verify an entrants’ identity, postal address and telephone number in the event they are deemed a potential prize winner. Your information may also be transferred to countries outside of England, including the United States. Such other countries may not have privacy laws and regulations that provide the same level of protection to those that exist in each entrants’ jurisdiction of residence. By providing any data in connection with the Contest, entrants hereby expressly consent to such transfers of your data to the United States or other countries. Participants have the right to review, rectify or cancel any personal data held by Sponsor that entrant provided in their entry by writing to: AFROPUNK, 1000 Dean Street, Brooklyn, NY, 11238.
Disputes: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Participant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of England.
In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Website and/or point of sale, television, print or online advertising; the terms and conditions of these Official Rules shall take precedence.
The Sponsor reserves the right, where it becomes necessary to do so, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Official Rules.
Notwithstanding anything elsewhere in these Official Rules, no person’s or entity’s liability for death or personal injury caused by its negligence shall be limited in any way, and nor shall their ability for fraud or for any other matter where liability may not as a matter of law be limited or excluded. Where these Official Rules provide for discretion exercisable by a Released Party that could otherwise be capable of causing a significant imbalance in the parties’ rights and obligation hereunder, to the detriment of a consumer and contrary to the requirement of good faith, shall be exercised reasonably and in good faith.
